Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Flyweal platform (www.flyweal.com) and its associated applications. By using Flyweal, whether as an RIA or a Client, you agree to be bound by these Terms.

1. Platform Role & Nature of Services

Flyweal Labs Pvt Ltd ("Flyweal") is a Technology Platform. We provide the software infrastructure that connects retail investors with independent SEBI-Registered Investment Advisers (RIAs) via Samati Authorised Techology Service Providers.

Flyweal is NOT a registered investment advisor, broker-dealer, or asset management company. * Flyweal does not provide direct financial, legal, or tax advice. All financial advice generated through the "Strategy Studio" is validated, approved, and officially issued by the independent RIA, not by Flyweal.

2. Terms for SEBI-Registered RIAs (Partners)

By registering as a Partner on Flyweal, you agree to the following:

Regulatory Compliance: You must maintain a valid, active SEBI RIA registration. You must immediately notify us if your registration is suspended or revoked.
Fiduciary Duty: You acknowledge that you are solely responsible for the financial advice sent to Clients. While Flyweal’s AI may draft a strategy, you are the final fiduciary authority. You must review and validate all advice before sending it to a Client.
Client Billing: You agree to operate strictly on Fee Model approved by SEBI per client as per SEBI regulations.
Platform Billing: You agree to the tiered SaaS pricing model. Failure to pay may result in suspension of your access.

3. Terms for Retail Investors (Clients)

By subscribing to Flyweal, you agree to the following:

Accuracy of Data: You are responsible for ensuring the accuracy of the financial data synced via the Account Aggregator network or manually entered. Your RIA relies on this data to provide suitable advice.
Execution Risk: Flyweal provides API buttons for seamless execution via third-party authorised & licensed brokers. Flyweal is not responsible for API downtimes, execution delays, or slippage caused by the third-party broker. All investments are subject to market risks.

4. Intellectual Property

All code, designs, algorithms, AI & Data models (including "Strategy Studio"), UI/UX, and branding on the Flyweal platform are the exclusive intellectual property of Flyweal Technologies. You may not reverse-engineer, copy, or redistribute our software.

5. Limitation of Liability

To the maximum extent permitted by Indian law, Flyweal Labs Pvt Ltd shall not be liable for:

Any financial losses, missed opportunities, or tax liabilities incurred by the Client based on the advice given by the RIA.
Interruptions in service caused by third-party Account Aggregators or Broker APIs.
Any disciplinary action taken by SEBI against an RIA for failing to properly validate advices or misusing the platform.

6. Termination

Flyweal reserves the right to suspend or terminate the account of any RIA or Client who violates these Terms, engages in fraudulent activity, or violates SEBI regulations.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India.
